The Cross-Border Investment Committee ("CBIC") is the largest and most broadly based of all IPBA Committees. The CBIC provides a networking forum for lawyers engaged in cross-border investment to exchange information and experiences in order to adavnce their knowledge of the laws, practices and procedures affecting investment activities in the Asia-Pacific region, as well as to develop closer professional links.

The CBIC focuses on the myriad of investment and corporate laws and policies that are fundamental to the development of international commerce and which affect Foreign Direct Investment (FDI) transactions, mergers and acquisitions, joint ventures, and the raising of capital across the Asia-Pacific region. FDI frequently results in the creation of dynamic, long-term lawyer/client relationships in the matrix of changing economic and legal circumstances. Professional advisors must deal with issues prospectively and with flexibility armed with correct contemporaneous legal information.

The CBIC deals with issues of interest to legal practitioners who face new challenges as the businesses of their locally based clients shift to a global focus. The CBIC's annual conference programs enjoy a high level of attendance by both in-house and corporate counsel and features presentations by senior counsel as well as experts from outside the legal profession. Such presentations facilitate a better understanding of the perspectives and expectations of in-house counsel, external counsel and the clients whom they advise.

The CBIC often cooperates with other IPBA committees in conducting annual conferences and other programs, and shares with those committees coverage of such issues as merges and acquisitions, joint ventures and a range of issues that influence all types of businesses.

CBIC leadership always welcomes any suggestions from members of topics they desire to have discussed at forthcoming annual conferences or other events. We are in constant search of relevant topics and speakers.
 

UPCOMING CONFERENCES

Annual Conference - Kyoto/Osaka, 21-24 April 2011. The theme for the Kyoto/Osaka Conference is Innovation. Innovative business and transaction structures that take into account taxation, international trade and other aspects of cross-border investment are constantly evolving. We in CBIC foresee substantial opportunities for the exchange of experience and skills in the context of interesting conference program topics in cooperation with other IPBA committees. Planning for the Kyoto/Osaka Conference is well underway. CBIC is involved in the planning of a number of programs such as:

  1. "INNOVATIVE CROSS-BORDER INVESTMENT TECHNIQUES - What's Happening and Future Directions" - A Joint Session with Taxation Committee;
  2. "M&A Negotiation Trends and Practices in U.S. and Asian Private Target, Public Target and LBO Deals" (Part 2) - A Sequel to Original Program in IPBA Singapore Conference; and
  3. "Innovative Due Dilligence Techniques - Is That Possible and How Can We Improve?"

The CBIC leadership would welcome any suggestions for speakers who can contribute to the programs planned for the Kyoto/Osaka Conference.

Regional/Local Conferences - Mid-Year 2010 Stuttgart Conference. The CBIC leadership is actively engaged in the planning and presentation of a special seminar for the Mid-Year 2010 Stuttgart Conference on 16-18 October in Stuttgart, Germany, on "Asian Counterparts in Corporate Transactions - Asian and European Perspectives."


SINGAPORE ANNUAL CONFERENCE 2010

The Singapore Annual Conference 2010 was IPBA's 20th Annual Conference and the most well-attended conference in IPBA's history. The CBIC sponsored or co-sponsored four very well-attended programs:

M&A Negotiation Trends and Practices in U.S. and Asian Private Target, Public Target and LBO Deals. As a continuation of the CBIC's ongoing series of M&A seminars, this program featured a panel of top quality speakers who dealt with two main topics: "What are the deal-breakers?" and "What's Market?"

Clean Development Mechanisms: After Copenhagen. The program was jointly organised jointly with the Environmental Law and International Trade Committees and drew upon experiences from the Copenhagen Conference in summarizing the role of Clean Development Mechanisms in addressing Climate Change.

Cross-Border Law Reforms - Change in Investment Climate. This program was organised together with the International Trade Committee and focused on recent regulatory and investment climate changes in various jurisdictions  -  providing a comparison of different approaches as adopted by different countries/regions.

The Resurgence of Nuclear Power in an Era of Climate Change. Jointly organised by the CBIC and the Environmental Law, International Trade, and the Energy & Natural Resources Committees, this program dealt with the benefits and difficulties of using nuclear power as an alternative to carbon intensive energy production technologies, highlighting the resurgence of nuclear power in the U.S., Canada, Sweden, and India. The program also dealt with bilateral nuclear technology exchange agreements.


OTHER RECENT ANNUAL CONFERENCES

MANILA - 2009: The CBIC sponsored or co-sponsored three programs at the Manila Conference which was attended by some 450 delegates: Trade Law Risk in International Mergers & Acquisitions, Dealing with Corruption and Illegal Matters Affecting Cross-Border Investment (presented in cooperation with the International Trade Committee), Privatization of Enterprises in Asia.

LOS ANGELES - 2008: The CBIC was the most active committee at the Los Angeles Annual Conference (attended by some 700 delegates), sponsoring or co-sponsoring five programs: The Global Investment Race for Energy and Resources (presented in cooperation with the Energy & Natural Resources Committee), Go West, Good Investor, Go West . . . to the West Coast, Investment Arbitration under Bilateral Investment Treaties: Lessons Learned from the Latin American Experience (presented in cooperation with the International Trade and Dispute Resolution & Arbitration Committees), M&A Execution in China: What Every Deal Team Needs to Know, M&A Due Diligence in Asia.

BEIJING - 2007: The CBIC presented a half-day program in cooperation with the Banking, Finance and Securities Committee on Public and Private M&A in the Asia-Pacific Region and China, with speakers from China, Japan, Malaysia, and Canada.

SYDNEY - 2006: The CBIC presented programs dealing with various aspects of cross-border investment in the era of Bilateral and Multilateral Investment Treaties and Free Trade Agreements.
